1. What this agreement is
You are joining Laff as one of its founding trucks while the Laff apps are still being tested, before their public launch. During the founding pilot you may see things that are not public yet. This agreement asks you to keep them private.
It is between laf warja Company LLC ("Laff") and the truck operator who accepts it ("you"). It adds to the Laff Operator Subscription Agreement (the "Operator Agreement") and does not change it. It does not by itself give a founding place, a founding price or any other offer. Laff handles your information as the Privacy Policy and the operator data notice describe.
You accept this agreement with its own tap in Laff, separately from the Operator Agreement. Laff records the version you accepted, the language, the time and your account, and that record is the proof of your acceptance. Apple's TestFlight terms also apply to test builds; where they are stricter, follow them.
2. What is confidential
"Confidential Information" means the following, for as long as it is not public:
- features, screens and designs of Laff apps and websites that Laff has not released, including those in test builds;
- screenshots, screen recordings, photos and videos of them;
- founding-truck and commercial terms that Laff offers you and has not published, such as prices, fees and offers;
- Laff's plans: what Laff intends to build or launch, and when.
3. What is never confidential
- Your own business stays yours. Your menu, prices, photos, truck details, the other content you give Laff and your own business records belong to you. This agreement never makes them confidential, and you may share them with anyone.
- Showing customers your truck on Laff. You may show customers how to find, follow and check in at your truck on Laff, and share your truck's own page and menu as customers see them in Laff, screenshots of them included, and the QR codes, posters and links Laff gives you for your truck.
- Information that is public, or becomes public without you breaking this agreement.
- Information you already knew before Laff shared it, or received lawfully from someone who was free to share it.
- Information you developed yourself without using Confidential Information.
You may always say that your truck is on Laff and that it is a founding truck.
4. What you agree to do
- Use Confidential Information only to take part in the pilot and to run your truck on Laff.
- Do not share it, post it or show it to anyone outside your truck. Keep it at least as carefully as you keep your own business secrets.
- You may share it with your partners, the people who work on your truck and your own advisers who need it, if they agree to keep it confidential. You answer for them as you answer for yourself.
- If a law, a court or a competent authority requires you to disclose it, you may disclose what is required. Where the law allows, tell Laff first.
- If Confidential Information includes other people's personal data, the Privacy Policy and the Personal Data Protection Law also apply to it. This agreement never allows a use they forbid.
Nothing in this agreement stops you from reporting a suspected violation to a competent authority, exercising a right the law gives you, or answering a court.
5. How long it lasts
For each piece of Confidential Information, your duties last for 12 months from the day you receive it, or until Laff makes it public, whichever comes first.
6. Returning or deleting
If Laff asks, delete or return the Confidential Information you hold, such as screenshots and recordings, within 7 days, and confirm to Laff that you did. You may keep the copies a law requires you to keep.
7. If something goes wrong
This agreement has no fines and no fixed penalty amounts. If you break it:
- Laff will tell you and ask you to stop and to take the material down, unless the matter is urgent.
- Laff may stop giving you test builds and early features, and may end your part in the pilot.
- Laff may ask the competent court for an urgent order to stop a disclosure, and for compensation for the loss it proves.
Each party keeps the other rights that Saudi law gives it.
8. Law, courts and language
This agreement is governed by the laws of the Kingdom of Saudi Arabia. The competent court in Riyadh hears any dispute about it, including requests for urgent relief. The agreement is issued in English and Arabic; if they conflict, the Arabic text prevails. Nothing in it stops you from complaining to a competent authority.
