1. Parties and Business Use
This Operator Subscription Agreement (the “Agreement”) is between laf warja Company LLC, a limited liability company incorporated in the Kingdom of Saudi Arabia under Commercial Registration No. 7054919290 (“Laff”), and either (a) the Saudi individual accepting it for lawful operator activity in that individual’s own name, or (b) the business entity for which an authorized representative accepts it (in either case, the “Operator”). The Operator enters this Agreement for professional or business use, not private consumption. An individual accepts for themself; a person accepting for an entity warrants authority to bind that entity. Mandatory rights that cannot lawfully be excluded continue to apply. The Laff Terms of Service and Community Rules apply to the Operator’s use of the Platform except where this Agreement states otherwise for the Operator’s professional or business use, in which case this Agreement prevails.
2. Definitions
“Platform” means the Laff / لفّ applications, websites, dashboards, and related services. “Platform Data” means all data generated on or by the Platform, including check-ins, visits, rankings, ratings, follows, engagement records, analytics, heatmaps, benchmarks, and any data derived from them. “Operator Content” means the menus, photos, videos, brand materials, business details, and other content the Operator submits. “Billing Page” means the plans-and-billing page published on laffapp.com. “Catering Booking” means an engagement for catering or event services between the Operator and a customer.
3. Platform Services and Plans
Laff provides the Operator with the platform services associated with the Operator’s plan. Plans — including the free On the Map presence and the paid Rahhal Pro and Fleet subscriptions and any published add-ons — are described, together with their features and fees, on the Billing Page, which is incorporated into this Agreement by reference. Laff may revise plan features and fees prospectively; revisions take effect for the Operator’s next renewal.
4. Fees, Billing, and Taxes
Subscriptions are billed through the Billing Page and renew automatically at the end of each billing period unless cancelled before renewal. All fees are stated exclusive of VAT and any other applicable taxes, which the Operator bears. Laff may suspend the Operator’s paid features upon non-payment after the payment falls due, without prejudice to its right to collect. Fees are non-refundable except where a refund is required by mandatory Saudi law.
5. Operator Warranties and Compliance
The Operator represents and warrants, on a continuing basis, that it: (a) holds and maintains the licences, permits, site or route authorizations, in-cart worker health certificates, and other approvals that apply to its operator lane, activity, unit, people, location, and services; (b) complies with the laws and official requirements that apply to its operations, including applicable food-safety, menu-information, consumer-protection, tax, and e-invoicing duties; (c) submits only accurate operator, unit, menu, price, schedule, location, and worker-readiness information and keeps it current; and (d) owns or has all rights needed in Operator Content. A reference to a requirement in this Agreement does not make that requirement universal where Saudi law or the competent authority applies it only to particular activities or operators. Laff may request the minimum reference or evidence reasonably needed for verification and may suspend or remove a unit’s presence while an applicable requirement cannot be verified.
6. Food Safety and Customer Transactions
The Operator sells directly to customers. Every sale, pre-order, pickup, and Catering Booking is a contract between the Operator and the customer; Laff is not a party to it. The Operator is solely responsible for food quality, safety, hygiene, allergens, pricing, availability, fulfilment, refunds, and complaints.
7. Indemnification
The Operator shall indemnify, defend, and hold harmless Laff, its officers, employees, and agents from and against all claims, demands, losses, damages, fines, penalties, and expenses (including reasonable legal costs) arising out of or relating to: (a) the Operator’s food, products, and services; (b) the Operator’s operations, staff, or vehicles; (c) Operator Content; (d) the Operator’s breach of this Agreement or violation of law; or (e) any customer claim connected to any of the foregoing.
8. Platform Data and Operator Content
Platform Data is and remains the exclusive property of Laff. As between the parties, Laff owns all right, title, and interest in Platform Data, including data relating to or generated by activity around the Operator’s trucks — check-ins, visits, rankings, follows, engagement, analytics, heatmaps, and benchmarks — and all data derived from it, and may use, aggregate, analyze, license, and commercially exploit Platform Data without restriction or compensation. The Operator receives a limited, non-exclusive, non-transferable, revocable licence, for the term of this Agreement, to access the dashboard views made available to its account and to use them for its internal business purposes only; the Operator shall not resell, publish, or systematically extract them.
Operator Content remains the Operator’s property. The Operator grants Laff a worldwide, royalty-free, sublicensable licence for the term of this Agreement (and thereafter for archival and legal purposes) to host, reproduce, adapt, translate, display, and distribute Operator Content on and off the Platform for operating and promoting the Platform and the Operator’s presence on it.
9. Catering Referrals, Success Fee, and Anti-Circumvention
Where the Platform’s catering flow is used, Laff earns a success fee of 7.5% of the total value of the Catering Booking (the “Success Fee”), payable when the booking is confirmed. A Catering Booking is “initiated through Laff” if the request, lead, or introduction originated on or through the Platform, regardless of where the booking is later negotiated, contracted, or paid. The Success Fee remains payable in full where a Catering Booking initiated through Laff is completed, in whole or in part, off the Platform. For twelve (12) months after a customer is first introduced to the Operator through the Platform, any Catering Booking between that customer and the Operator is deemed initiated through Laff. The Operator shall not solicit, encourage, or assist any customer to move a booking off the Platform for the purpose of avoiding the Success Fee, and shall report off-platform completions of Laff-initiated bookings within seven days.
10. Service Levels and Changes
Laff provides the Platform on a commercially reasonable, best-effort basis. No service-level commitment, uptime guarantee, or support-response guarantee is given. Features may change, be added, or be withdrawn; Laff will give reasonable notice of material changes that reduce the Operator’s paid functionality. Laff gives no warranty of search ranking, map placement, customer traffic, or any business outcome. Rankings and placement are determined by the Platform’s own systems.
11. Organizations, Fleets, and Staff
An individual Operator may manage only the number and type of units permitted by the applicable individual licence. Where an establishment Operator manages multiple units or seats under an organization, each unit remains subject to its own applicable licence, site, people, and readiness requirements. The account owner is responsible for assigning and revoking access, limiting each person to the authority actually granted, and for the acts and omissions of its staff and invited users as if they were its own. A user who may serve orders does not automatically have authority to bind the Operator, manage settlement details, or accept amendments to this Agreement.
12. Term, Termination, and Data Export
This Agreement runs until terminated. Either party may terminate at any time with effect from the end of the current billing period; Laff may terminate or suspend immediately for material breach, unlawful conduct, non-payment, or risk to the Platform or its users. For thirty (30) days after termination, the Operator may export its dashboard data and Operator Content through the tools Laff makes available; after that window Laff may delete the Operator’s account data, subject to legal retention duties. Sections 6–9 and 12–15 survive termination.
13. Limitation of Liability
To the maximum extent permitted by the laws of the Kingdom of Saudi Arabia: neither party is liable for indirect, incidental, consequential, or special damages, or for lost profits, revenue, or goodwill; and Laff’s total aggregate liability under this Agreement is limited to the fees the Operator paid to Laff in the three (3) months preceding the event giving rise to liability.
14. Non-Exclusivity
This Agreement is non-exclusive in both directions. The Operator may use competing services, and Laff may list, promote, and contract with any other business, including the Operator’s competitors.
15. Privacy and Data Protection
Each party complies with the PDPL in its own role. Laff processes personal data as described in the Laff Privacy Policy. The operator application privacy notice acknowledged during onboarding remains a separately consented document. Where the Operator receives any personal data through the Platform (for example, order or catering contact details), the Operator uses it only to fulfil the transaction concerned and complies with the PDPL as an independent controller of that use.
16. General
Laff may assign this Agreement, including in a merger, acquisition, or asset sale; the Operator may not assign it without Laff’s written consent. Notices to Laff go to support@laffapp.com; notices to the Operator go to the account’s registered contact details. If a provision is invalid, the remainder stays in effect. This Agreement, the Billing Page, the Terms of Service, the Community Rules, and the Privacy Policy are the entire agreement about the Platform. This Agreement is governed by the laws of the Kingdom of Saudi Arabia, and the competent courts of the Kingdom have exclusive jurisdiction. This Agreement is issued in English and Arabic; in the event of conflict, the Arabic text prevails.
